01Acceptance of Terms

By creating an account, accessing, or using the SportSync mobile application (the "Service"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and SportSync ("SportSync", "we", "us", or "our"), a service based in Italy. SportSync is a free-to-use Service. We may update these Terms from time to time — see Section 15 for details.

If you are accepting these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

02Eligibility

You must be at least 16 years old to create an account and use SportSync. By registering, you represent and warrant that you meet this age requirement and that all information you provide during registration is accurate, current, and complete.

If we learn that a user is under 16, we will immediately suspend their account and delete all associated personal data in accordance with our Privacy Policy. Parents or guardians who become aware of an underage account should contact us at support@sportsyncc.com without delay.

You must also have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. The Service is intended for personal, non-commercial use only.

03Your Account

When you create a SportSync account, you are responsible for:

• Providing accurate, current, and complete information during registration and maintaining its accuracy over time
• Maintaining the confidentiality of your login credentials and not disclosing them to any third party
• All activity that occurs under your account, whether authorised by you or not
• Notifying us immediately at support@sportsyncc.com if you suspect any unauthorised access to or use of your account

You may not register more than one personal account, impersonate any person or entity, or create an account on behalf of another person without their explicit written consent. Accounts created to circumvent a ban, suspension, or prior account termination will be immediately terminated.

04Acceptable Use

You agree to use SportSync only for lawful purposes and in a manner consistent with these Terms and all applicable local, national, and international laws. You must not:

• Post false, misleading, or fraudulent game listings, including incorrect location, sport type, date, time, or stated skill level
• Harass, threaten, intimidate, bully, stalk, or abuse any other user through in-app messaging, reviews, public profiles, or any other channel
• Discriminate against any player or host on the basis of race, colour, ethnicity, national origin, gender, gender identity, sexual orientation, disability, religion, age, or any other characteristic protected by applicable law
• Use the Service for any unlawful purpose or in furtherance of any criminal activity
• Attempt to gain unauthorised access to any other user's account, SportSync's systems, or any data not belonging to you
• Scrape, crawl, index, or systematically extract data from the Service without prior written authorisation
• Circumvent, disable, or interfere with any security, authentication, or access-control feature of the Service
• Use automated scripts, bots, or other tools to generate artificial activity, inflate ratings, or otherwise manipulate the platform
• Distribute unsolicited commercial messages, spam, or chain letters to other users
• Upload or transmit viruses, malware, or any other malicious code

05Games and Hosting

When you join a game:

• You are making a commitment to attend. Other players are relying on the confirmed headcount to organise the game.
• If your plans change, you must leave the game through the app at least 2 hours before the scheduled start time so the spot can be offered to another player.
• You are solely responsible for ensuring you are physically capable of participating in the chosen sport and stated skill level.
• You agree to comply with the rules of the venue and any reasonable instructions given by the host.

When you host a game:

• You are responsible for the accuracy of all game details: sport, location, address, date, start time, skill level, and maximum player count.
• If you must cancel, you are required to notify all joined players through the app as soon as possible, and no later than 2 hours before the scheduled start time.
• Repeated unjustified cancellations or systematic failure to run games you have advertised may result in your hosting privileges being suspended or permanently revoked.
• You are responsible for ensuring the chosen venue is appropriate, accessible, legally available for use, and reasonably safe for the planned activity.

06Attendance and No-Show Policy

SportSync operates an attendance tracking system to maintain community reliability. When you join a game, you make a commitment to attend. Unexplained absences disrupt games and negatively impact all other participants.

• After each game concludes, the host records attendance for all joined players. Players marked absent without prior notice are counted as a no-show.
• Your show-up rate is displayed publicly on your profile, enabling other hosts and players to make informed decisions.
• Accumulating 2 or more no-shows within a single calendar month will trigger an automatic 14-day suspension from joining new games, beginning on the first day of the following month.
• Continued, severe, or repeated violations of the attendance policy may result in a permanent ban from the platform.

07User Content and Messages

You retain full ownership of all content you create on SportSync, including your profile information, uploaded photos, game descriptions, messages, and reviews ("User Content").

By submitting User Content, you grant SportSync a non-exclusive, royalty-free, sub-licensable, worldwide licence to store, display, reproduce, and transmit that content solely to the extent necessary to operate and provide the Service. This licence terminates automatically when you delete the content or close your account, subject to reasonable retention periods for technical and legal compliance purposes.

You represent and warrant that: (i) you own or have the necessary rights to all User Content you submit; (ii) your User Content does not infringe any third-party intellectual property, privacy, or personal rights; and (iii) your User Content complies with these Terms and all applicable law.

• Do not share personal contact details such as phone numbers or home addresses in public group chats
• Do not post content that is defamatory, obscene, illegal, or infringes any third party's rights
• Do not post content containing malware, spam, or unsolicited commercial advertising

We reserve the right — but not the obligation — to review, moderate, edit, or remove any User Content that we determine, in our reasonable discretion, violates these Terms or is otherwise harmful to the community, without prior notice.

Zero tolerance for objectionable content and abusive behaviour.

SportSync has no tolerance for objectionable, offensive, or illegal content or for abusive users. Objectionable content includes, without limitation, content that is harassing, threatening, hateful, discriminatory, sexually explicit, violent, defamatory, or that promotes illegal activity or harm to others. By using the Service you agree not to create, post, or transmit any such content or to engage in abusive conduct toward other users.

To keep the community safe, SportSync provides tools to: (i) report objectionable content, players, photos, or reviews directly from within the app; and (ii) block any user, which immediately prevents them from contacting you, joining your games, or appearing in your feed. We aim to review reports of objectionable content and abusive users, and to remove offending content and eject the responsible user, within 24 hours of a report. Users who post objectionable content or behave abusively may have that content removed and their account suspended or permanently terminated at our discretion.

08Intellectual Property

The SportSync application, including its name, logo, design, code, interfaces, algorithms, and all other elements of the Service that are not User Content ("SportSync IP"), are owned exclusively by SportSync and are protected by applicable intellectual property laws, including copyright, trade mark, and database rights.

These Terms do not grant you any right, title, or interest in the SportSync IP. You may not copy, modify, adapt, or create derivative works of the application; decompile, reverse engineer, or disassemble any part of the Service; remove or alter any copyright, trade mark, or other proprietary notices; or use any SportSync trade mark or branding without prior written consent.

You are granted a limited, revocable, non-exclusive, non-transferable, non-sublicensable personal licence to access and use the Service on your personal device solely for its intended purpose, subject to your continued compliance with these Terms.

09Ratings and Reviews

After each game, participants may rate one another and the overall game experience. The rating system exists to build a trustworthy community of reliable, fair-play players.

• Ratings and reviews must be honest, genuine, and based on your actual experience of the game or player
• You may not submit ratings for games you did not attend or coordinate with others to manipulate ratings
• You may not threaten, coerce, pressure, or retaliate against any user in connection with ratings they give or receive
• You may not use multiple accounts, bots, or any other mechanism to artificially inflate your own rating or harm another user's rating

We reserve the right to remove or adjust ratings that we reasonably determine to be fraudulent, abusive, retaliatory, or otherwise contrary to these Terms. Systematic or repeated rating manipulation may result in account suspension or termination.

10Suspension and Termination

We may suspend or permanently terminate your access to the Service at any time, with or without prior notice, if we reasonably determine that you have:

• Violated any provision of these Terms of Service
• Engaged in attendance or cancellation behaviour in excess of the thresholds described in Section 6
• Harassed, threatened, or abused any other user, SportSync personnel, or third party
• Used the Service for fraudulent, deceptive, or illegal purposes
• Provided materially false or misleading information to SportSync or to other users
• Attempted to manipulate ratings, attendance records, or any other platform metric

You may voluntarily delete your account at any time via Profile → Settings → Delete Account. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

If you believe your account was suspended or terminated in error, you may submit an appeal to support@sportsyncc.com within 14 days of receiving notice of the suspension.

11Health and Physical Safety

SportSync connects people for physical sports activities. By joining or hosting any game through the Service, you acknowledge and expressly agree that:

• All physical activity is undertaken entirely at your own risk
• You are solely responsible for assessing whether your physical condition, health status, and fitness level are appropriate for any sport or skill level you select
• SportSync does not verify the physical fitness, health status, qualifications, identity, background, or conduct of any user
• You should consult a qualified medical professional before engaging in strenuous physical activity, particularly if you have any pre-existing health condition or injury
• You are responsible for providing appropriate safety equipment, clothing, and footwear required for your chosen sport and venue

12Disclaimers of Warranty

The SportSync Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, SportSync expressly disclaims all warranties, express, implied, or statutory, including but not limited to:

• Implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement
• Any warranty that the Service will be uninterrupted, timely, secure, or error-free at all times
• Any warranty regarding the accuracy, reliability, completeness, or timeliness of any content, game listing, user profile, or rating on the Service
• Any warranty that the Service or its servers are free of viruses or other harmful components

SportSync does not endorse, verify, investigate, or accept responsibility for any User Content, game listing, venue, player profile, or the conduct of any user before, during, or after any game organised through the Service.

13Limitation of Liability

To the maximum extent permitted by applicable law, SportSync and its operators shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind arising out of or related to your use of, or inability to use, the Service, including but not limited to:

• Personal injury, bodily harm, or death arising from participation in any game or physical activity
• Loss of or damage to personal property at any game venue
• Loss of data, revenue, profits, business, or goodwill
• Any actions, omissions, or conduct of any other user, host, venue operator, or third party
• Interruption, suspension, or termination of the Service
• Unauthorised access to or alteration of your account or data

Where liability cannot be fully excluded by law, including under EU consumer protection legislation, our total aggregate liability to you for any single claim shall not exceed EUR 100 or the amount you paid to us in the 12 months preceding the claim, whichever is greater.

Nothing in these Terms limits our liability for: (i) death or personal injury caused by our proven negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by applicable law.

14Indemnification

You agree to indemnify, defend, and hold harmless SportSync, its operators, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

• Your access to or use of the Service, or your inability to access or use it
• Your breach of any provision of these Terms of Service
• Any User Content you submit, post, or transmit through the Service
• Your violation of any third-party right, including intellectual property, privacy, or personal rights
• Any bodily harm, property damage, or other loss caused by your conduct at, or in connection with, any game organised through the Service

15Changes to These Terms

We may revise and update these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms in the app with a revised effective date and, where reasonably practicable, by sending an in-app notification or email to the address associated with your account at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of the revised Terms constitutes your binding acceptance of those changes. If you do not agree to the updated Terms, you must discontinue your use of the Service and delete your account prior to the effective date.

16Arbitration Agreement and Class Action Waiver (U.S. Users)

Please read this section carefully — it affects how disputes are resolved and may limit your rights. This Section 16 applies only to users who reside in the United States. If you are a consumer resident in the EU, the UK, or another jurisdiction whose mandatory law prohibits pre-dispute binding arbitration or class-action waivers, this Section 16 does not apply to you, and your disputes are governed by Section 17 instead.

You and SportSync agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot first be resolved through good-faith informal negotiation (initiated by written notice to support@sportsyncc.com and lasting at least 30 days) shall be resolved exclusively through final and binding individual arbitration, rather than in court, except that either party may bring an individual claim in small-claims court.

Class action waiver.

To the fullest extent permitted by applicable law, you and SportSync agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

30-day opt-out.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice of your decision to opt out to support@sportsyncc.com, including your name and the email associated with your account. Opting out will not affect any other part of these Terms.

This arbitration agreement is governed by the U.S. Federal Arbitration Act. If any portion of this Section 16 is found unenforceable, the remainder shall remain in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall be severed and brought in a court of competent jurisdiction.

17Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict-of-law provisions. Where you are a consumer habitually resident in another EU member state, you will also benefit from any mandatory consumer protection provisions of the laws of your country of residence that cannot be derogated from by agreement.

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Service shall first be submitted to good-faith negotiation between the parties. Written notice of the dispute must be sent to support@sportsyncc.com. If no resolution is reached within 30 days of notice, either party may refer the matter to the competent courts of Italy, unless mandatory local consumer protection laws require otherwise.

EU residents may also submit complaints to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr, or to their national consumer dispute resolution body.

Severability.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

Entire Agreement.

These Terms, together with the Privacy Policy and any other notices or policies referenced herein, constitute the entire agreement between you and SportSync with respect to the Service and supersede all prior agreements and understandings.
